INTRODUCTION AND ACCEPTANCE OF THE TERMS AND CONDITIONS OF SERVICE DELIVERY

The General Terms and Conditions of Service Delivery (“Terms”) set out hereinafter govern the contractual relationship between the ‘User’ (hereafter also referred to as ‘You’ or the ‘Customer’) and “Highdeal Solutions Inc.” (hereafter also referred to as “Highdeal”, “We” or the “Website”), belonging to Highdeal, a corporation incorporated and subsisting pursuant to the laws of the Province of British Columbia, Canada.

These Terms are the only conditions that are applicable and replace all other conditions, except in the case of express written, prior dispensation. We maintain that, by interacting with our Website and interacting with our platform you confirm that you have read, understand, and do unconditionally accept our Terms. These Terms are important to you and Highdeal as it is used to protect your rights as a valued customer and our rights as a business.

CHANGES TO THE TERMS AND THE WEBSITE

Highdeal is a work in progress, and as such things may change, be added or be taken away. We reserve the right to update the Website and these Terms from time to time, at our discretion and without any notice to you or any other party. It is solely your responsibility to keep up to date with the latest Terms by checking back regularly. Your continued use of the Website following the publishing of updated Terms will be deemed to mean that you have read, understand and agree to the changes. If you do not agree with the Terms, do not use the Website.

ACCESS TO THE WEBSITE

We strive to ensure the Website is always up and available, but we can’t guarantee that the Website will always be available or accessible (“Downtime”). We reserve the right to disable the Website for short periods of time for general maintenance but will attempt to keep Downtime to a minimum. We will not be liable, if for any reason, all or any part of the Website is unavailable at any time, for any length of time.

Parts of the Website require you to input a password to access certain features. This is required to keep your data safe and allow you to update and keep your details relevant. To allow access you are required to register an account with Highdeal by entering your first and last names, email and choosing a secure password. We highly recommend that you choose a strong password that is hard for others to guess. We also advise you to always log out from your account at the end of every session. There is a password reset procedure in case you forget your password. You must treat your account log-in information as confidential, not disclosing it to any third party and only using the information to access your account personally. If you suspect any breach of security, it is your responsibility to change your password immediately and thereafter notify us of this breach.

It is a condition of your use of the Website that all the information you provide on the Website is correct, current and complete. We reserve the right to disable any user account at our sole discretion, at any time for any or no reason, including if, in our opinion, you have failed to comply with any provision of these Terms.

We do not guarantee that the Website or any content provided on the Website is error free. We manage your personal data according to our Privacy Policy.

SERVICES

The Website allows You to order our products as, or You can contact our Creative Design team for custom products. You can take advantage of our Design Solutions, or We can provide You with templates to base your designs on. With these templates You can chose to use them for your own purposes, or we can supply You with all the custom solutions you require. (“Goods & Services”). All changes are considered custom orders, and process may not match those on the Website.

You will be required to agree to the Terms to finalize your product. Finally, you will pay for the Goods & Services and complete the check out process. Once we have confirmed your order and payment, we will prepare and deliver the Goods & Services, which will include your invoice.

OUR OBLIGATIONS

Our obligations are limited to preparing and delivering the Goods & Services. We will not share any information with anyone unless we are given written consent to do so. We will keep your personal information secure and not share it with anyone. We will make our best efforts to prepare and deliver the Goods & Services in the best way possible.

YOUR OBLIGATIONS

You must ensure that you provide us with the correct ordering information and design information. If you use our design services, once you have signed off on the design, you are liable therefor. If any changes need to be made to the Goods & Services, you will be charged additional fees for the additional services rendered.

WEBSITE INFORMATION

Highdeal takes great care when putting information, descriptions and images online but will not be held responsible for any mistakes or omissions to any information given.

PRICES

All prices indicated on the Website are shown in Canadian Dollars and do not include any applicable sale taxes (GST/HST/PST). Taxes are clearly shown on the invoice in addition to the invoiced price. We reserve the right to adjust our pricing at any time, but you will be informed thereof. We will not be held to obviously incorrect prices that appear on our Website.

AVAILABILITY

Once in possession of all the required information, and receipt of payment, we will produce our best effort to deliver the agreed Goods & Services.

SECURE PAYMENT

Unless otherwise agreed to in writing in advance, we require 100% when the order is placed, but in all cases before shipping. Highdeal offers various manners of payment using a third-party payment service provider “Solupay”. These payment options use advanced SSL encryption to keep your transaction secure and do not cost you anything to use (Highdeal is charged as the service provider, you are not charged) so you will not pay any extra for your order. You do not need to hold an account with Solupay to use these methods of payments. Please refer to Solupay’s full terms and conditions of use.

DELIVERY

Your order will be delivered to the address you indicated when your order was placed. The products bought from Highdeal will be delivered to one address in Canada. We do not deliver to PO Box addresses.

Highdeal does everything in its power to respect the delivery times indicated on the Website, or as otherwise Agreed in writing. We cannot, however, be held responsible for the consequences of a late delivery or the loss of a package caused by a third-party contracted to make delivery, or by you, or because of some unforeseen event or an Act of God. In the event where you do not receive your package, an investigation will be conducted with the carrier and may take several days upon receipt of your claim. During this period of investigation, no reimbursement or re-delivery will take place.

PRIVACY AND PROTECTION OF PERSONAL DATA

The details you give us are essential for the processing and delivery of the agreed Goods & Services, for inter alia billing. Failure to provide these details will result in the cancellation of your order, and your fees will not be refunded. By registering on the Website, you agree to provide us with true and correct information as it concerns you. Communicating false information is contrary to the Terms and will result in termination of the instruction, without any refund.

You have the ongoing right to access and update your information. The information you supply is the only information we hold on your behalf.

Please note that our Website may deliver cookies to allow it to interact with your electronic platform. Cookies record certain information stored on your device. This information enables us to generate statistics based on data from visitors to our site and suggest products that might interest you according to the items that you selected when you previously visited the site. Cookies do not contain any confidential information about you.

INTELLECTUAL PROPERTY

All the content on the Highdeal Website (illustrations, texts, names, trademarks, brand names, images and videos), as well as the product we deliver, is the property of Highdeal. Except with the express pre-obtained written consent of Highdeal you are not authorized to copy, reproduce or distribute anything on the Website, either partial or total. All information, content and files are protected by International law concerning intellectual property rights, specifically copyright. Highdeal will not, under any circumstances, be held responsible if a user violates rights held by a third party through his or her activities on the site.

WAIVER AND SEVERABILITY

Any failure of Highdeal to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. The Terms constitutes the entire agreement between you and Highdeal, and governs your use of the Website, superseding any prior agreements (including, but not limited to, any prior versions of the Terms). If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

SCOPE

By using the Website, you confirm that you are satisfied with the Terms and are bound by the content thereof, specifically those sections dealing with the delivery of the Goods & Services and the manner in which it is being delivered. You hereby confirm that the Goods & Services are what you require and that you hereby specifically insist and demand that Highdeal deliver these Goods & Services on your behalf. You confirm that matters with which Highdeal did not deal with or fall outside of the scope of the Goods and Services, were not attended to on your specific instruction and request.

INDEMNITY

Further to the above, you shall indemnify and keep indemnified Highdeal, its successors and assigns and hold it harmless from and against any liabilities for losses, damages, costs, charges and expenses of whatever kind or nature, including legal fees and disbursements, and against any liabilities, losses, damages, costs, charges, and expenses, including legal fees and disbursements you may incur in connection with any one or more of the events or circumstances, as well as any other relating to the deliver of the Goods and Services delivered by, or your association with, Highdeal.

In general, you hereby indemnify and hold harmless Highdeal and its directors, shareholders, officers, employees and agents, their heirs, executors, administrators, and other legal representatives (each of which is included in any reference in this Agreement to Highdeal) against and from all liabilities, losses, damages, costs, fees, charges, disbursements, fines, penalties and expenses of any kind, regardless of when or how they arose including, without limiting the generality of the foregoing, all fees, charges and disbursements for the services of any experts, all legal fees, charges and disbursements on a solicitor and own client basis and any amount paid to settle any actions or to satisfy any judgments, (any and all of the foregoing being hereinafter referred to as “Liabilities”) which Highdeal may sustain, pay or incur as a result of or in connection with any manner of action, suit, proceeding, claim, demand, order or investigation whether civil, criminal, administrative or otherwise, including, without limiting the generality of the foregoing, any and all appeals and whether made by any person, firm, corporation, government, or by any governmental department, body, commission, board, bureau, agency or instrumentality (any and all of the foregoing being hereinafter referred to as an “Action”) to which Highdeal is made or threatened to be made a party, for or in respect to any act done or step taken or alleged to have been done or step taken or alleged to have been done or taken, or not done or taken or alleged not to have been done or taken, in the course of or arising from carrying out or conducting Highdeal’s duties as in any activity that it presents.

Specific Indemnity – In particular, and without in any way limiting the generality of the general indemnity, you hereby indemnify and hold Highdeal harmless against and from all Liabilities at any time imposed upon or at any time made against Highdeal for any negligence on the part of Highdeal, its agents and employees, including the failure on the part of the agents or employees to take commercially reasonable steps to deliver the Goods and Services.

WAIVER OF CLAIMS

You hereby agree to waive any and all claims that you have or may have in the future against Highdeal and its directors, officers, employees, agents, independent contractors, representatives, successors and assigns (each of which is included in any reference in this Agreement with Highdeal) and to release Highdeal from any and all liability for any loss, damage, expense or injury that you may suffer or that your next of kin may suffer as a result of your use of the Website, due to any cause whatsoever, including negligence, breach of contract, or breach of any statutory or other duty of care, including any duty of care owed on the part of Highdeal, including the failure on the part of the their agents or employees to take commercially reasonable steps to deliver the Services.

You agree that you will not make or proceed with any claim or take or proceed with any proceedings against Highdeal or any other person associated to Highdeal in any manner, by yourself or in conjunction with any other person or legal entity, in support of them or to assist them in any manner, who might claim contribution or indemnity, or any other remedy whatsoever from Highdeal.

RELEASE OF LIABILITY

You hereby agree to release and forever discharge and hereby on behalf of yourself, your heirs, executors, administrators, successors and assigns, remise, release and forever discharge Highdeal, its agents, employees, administrators, successors and assigns, and from any and all actions, causes of action, claims and demands, suits, debts, duties, sums of money whatsoever, whether at law or in equity and whether known or unknown, suspected or unsuspected, which you, or your heirs, executors, administrators, successors and assigns have or which we in the future may have arising out of or in any way connected with the service delivery by Highdeal.

FEEDBACK & COMMENTS

Any opinions left on the Website by Highdeal customers are screened and moderated by Highdeal. If the comments infringe on the law or are inappropriate (abusive publicity, defamation, insults, out of context commentary), Highdeal reserves the right to refuse, remove or modify it.
